You are selling, or someone made you an offer.

If an offer already exists, we read all of it. The price, the cash at closing, the amount held back, anything conditional, the equity you are asked to take back, and the employment agreement that sets your pay afterward. Then you get a written read on what the offer is actually worth, and we negotiate the parts that are negotiable.

If there is no offer yet, the desk values the practice, prepares it for review and runs a confidential process. Buyers behave differently when they know another buyer is in the room.

Fees, stated plainly. An offer review and a written opinion of value are a flat fee, quoted before work starts. A full sell-side engagement is a success fee on total consideration, paid at closing, agreed in writing up front. The desk takes no compensation from a buyer on a sell-side engagement.

The record opens with yours.

There is no public record of how DSO transactions are actually structured. Rollover percentages, holdback terms, earnout hurdles and post-close compensation are negotiated privately and never disclosed. The desk assembles an aggregated record from transactions it works on and terms sellers submit. It is anonymous, and only what can be verified gets published.
